Description of Service

Runnit is a social sports network platform that connects players and league administrators to organize, manage, and participate in pickup sports leagues and events. Our Service includes:

• Player profiles and sports community networking
• League creation and management tools
• Event scheduling and RSVP management
• Player discovery and substitute finding
• Communication and notification systems
• Payment processing for league admins
• Analytics and reporting features

Eligibility

You must be at least 13 years old to use Runnit. If you are under 18, you must have permission from a parent or legal guardian to use the Service. By using Runnit, you represent and warrant that:

• You meet the age requirements
• You have the legal capacity to enter into these Terms
• You will provide accurate and truthful information
• You will comply with all applicable laws and regulations

User Accounts

Account Registration

To use certain features of Runnit, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

Account Security

You are solely responsible for maintaining the security of your account credentials. Runnit is not liable for any loss or damage arising from your failure to protect your account information.

Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or other conduct we deem harmful to the Service or other users. You may delete your account at any time through your account settings.

User Roles and Responsibilities

Players

As a player, you agree to:

• Provide accurate availability and skill level information
• Honor your RSVP commitments or update them promptly
• Respect other players and league administrators
• Follow league rules and event guidelines
• Report any issues or concerns to league administrators

League Administrators

As a league administrator, you agree to:

• Accurately represent your league and its activities
• Manage your league fairly and transparently
• Respect player privacy and data protection rights
• Use payment features only for legitimate league expenses
• Comply with all applicable laws regarding sports activities
• Maintain appropriate insurance coverage for league activities

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Harass, abuse, threaten, or intimidate other users
• Post false, misleading, or fraudulent information
• Impersonate another person or entity
• Spam, phish, or engage in other deceptive practices
• Interfere with or disrupt the Service or its servers
• Attempt to gain unauthorized access to any part of the Service
• Upload viruses, malware, or other malicious code
• Scrape, harvest, or collect user information without permission
• Use the Service for any illegal or unauthorized purpose

Content and Conduct

User-Generated Content

You retain ownership of any content you post on Runnit (profile information, announcements, messages, etc.). By posting content, you grant Runnit a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Service.

You are solely responsible for your content and the consequences of posting it. You represent that you have all necessary rights to post your content and that it does not violate any laws or these Terms.

Prohibited Content

You may not post content that:

• Is illegal, harmful, threatening, abusive, or defamatory
• Contains hate speech or discriminates based on protected characteristics
• Is sexually explicit or pornographic
• Promotes violence or illegal activities
• Violates the privacy or intellectual property rights of others
• Contains spam, advertising, or commercial solicitation (unless authorized)

Content Moderation

We reserve the right to review, monitor, and remove any content that violates these Terms or is otherwise objectionable. However, we are not obligated to monitor all content and are not responsible for user-generated content.

Payment Terms

Player Accounts

Player accounts are free. Players may be required to pay league-specific fees to league administrators (outside of the Runnit platform) to participate in certain leagues or events.

League Administrator Credits

League administrators may purchase platform credits to create events and access premium features. All purchases are processed securely through Stripe. Payments are non-refundable except as required by law or at our sole discretion.

Payment Processing

We use third-party payment processors (Stripe) to handle payments. You agree to comply with their terms of service. We are not responsible for any errors or issues with payment processing by third-party providers.

Liability and Risk Assumption

Sports Activities Risk

PARTICIPATING IN SPORTS ACTIVITIES CARRIES INHERENT RISKS, INCLUDING RISK OF PHYSICAL INJURY. BY USING RUNNIT TO ORGANIZE OR PARTICIPATE IN SPORTS ACTIVITIES, YOU ACKNOWLEDGE AND ASSUME ALL SUCH RISKS.

Runnit is a platform for organizing sports activities. We do not organize, supervise, or control any sports activities or events. We are not responsible for:

• The safety, conduct, or quality of any sports activity
• Injuries or damages occurring during sports activities
• The actions or omissions of other users
• Disputes between players or leagues
• The adequacy of facilities, equipment, or supervision

No Liability for User Interactions

Runnit is not responsible for the conduct of users on or off the platform. We do not screen or verify users. You are responsible for your interactions with other users and should exercise caution when meeting people in person.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors or defects in the Service will be corrected
• The Service will meet your specific requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNNIT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or alteration of your data
• Any conduct or content of third parties on the Service
• Sports activities organized through the Service
• Any injuries, damages, or losses incurred during sports activities

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Runnit and its affiliates, officers, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your content or conduct on the Service
• Your participation in sports activities organized through the Service

Intellectual Property

The Service and its content (excluding user-generated content) are owned by Runnit and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, distribute, or create derivative works from our content
• Reverse engineer, decompile, or disassemble any part of the Service
• Use our trademarks, logos, or branding without written permission
• Remove or alter any copyright or proprietary notices

Third-Party Services

The Service may contain links to third-party websites or integrate with third-party services (such as Stripe, Firebase, SendGrid). We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is subject to their terms and policies.

Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Runnit is based, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial or to participate in a class action lawsuit.

Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement of intellectual property rights.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending you a notification (for significant changes)

Your continued use of the Service after changes to these Terms constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Request by law enforcement or government agencies
• Fraudulent, harmful, or illegal activity
• Extended periods of inactivity
• Technical or security issues

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that should reasonably survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Runnit regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations under these Terms without restriction.
